Rules for using Delphyn AI, including accounts, voice generation, payments, credits, and refunds

Welcome to Delphyn AI. These Terms of Service (the Terms) govern your access to and use of the Delphyn AI website and our text-to-speech, batch voiceover, voice library, voice cloning, account, payment, and related services (collectively, the Services).
These Terms and our Privacy Policy form the agreement between you and Delphyn AI. By accessing or using the Services, creating an account, or making a purchase, you confirm that you have read and agree to these Terms. If you do not agree, do not use the Services.
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.
You may not use the Services if doing so would violate applicable law, sanctions, export controls, or other legal restrictions.
You must provide accurate, current, and complete account information and keep it updated. You are responsible for:
Accounts are intended for the registered user or authorized organization and may not be sold, transferred, or shared in a way that circumvents plan limits or security controls.
We may require identity, account, payment, or content verification where reasonably necessary for security, fraud prevention, rights protection, or legal compliance.
Delphyn AI enables users to submit text and documents, select voices and settings, generate individual or batch voiceovers, manage generation history, use curated voices, and—where available—create authorized voice clones.
As of the date above, our text-to-speech, batch voiceover, and voice cloning functions are powered by Fish Audio. Fish Audio's published technical documentation identifies Alibaba Qwen3-4B as the foundation language-model backbone for its S2 model family. We use the Fish Audio S2.1 Pro speech model through the Fish Audio API. The default API model identifier is s2.1-pro-free; accounts individually authorized by us may use s2.1-pro. Fish Audio supplies and hosts this voice service. Model availability, supported languages, voices, speed, quality, output format, usage limits, and other features may change as the Services evolve or as upstream providers change; we will update these Terms or the relevant product documentation when a material change occurs.
We may introduce, modify, limit, pause, or discontinue features where reasonably necessary. We will use reasonable efforts to provide notice of material changes that significantly reduce a paid Service, unless urgent security, legal, provider, or operational circumstances make advance notice impracticable.
Voice generation uses credits. The applicable credit rate, included credits, purchase amount, expiration period, and plan limits are shown on the relevant pricing, checkout, or account page.

We may adjust future credit rates or usage limits to reflect model cost, capacity, misuse risk, or product changes. Any change applies to future use and will be displayed in the Services. We will not deduct additional credits from a previously completed generation solely because rates later change.
For the new membership offers, eligible unused paid Credits may be carried into the next paid credit cycle once. Already-carried Credits keep their recorded expiry and cannot be extended again by repeated renewals. Expired Credits are not restored by a later purchase. Credits are used in earliest-expiry order. The one-time signup gift remains separate and does not expire.
Certain features may be offered through free plans, paid subscriptions, trials, or one-time purchases.
USD membership purchases are subscriptions. CNY WeChat memberships are one-time purchases and do not renew automatically. A 30-day WeChat membership or renewal starts when payment succeeds, including early renewal of the same tier: it replaces the old remaining membership days rather than adding those days. The new quota is issued immediately and eligible remaining Credits may carry once. Annual memberships last twelve calendar months and issue twelve monthly quotas, not the whole year's Credits at purchase. An annual member's extra monthly-quota purchase does not change the membership expiry or scheduled grant dates.
Where a plan-change option is enabled, its charge, effective date, any unused-term value applied to the new purchase, and Credit treatment are shown before payment. A Credit carry-forward is not a cash refund. Switching display currency or site language does not change an existing membership or recurring-payment consent.
Subscriptions are billed in advance for the billing period shown at checkout and automatically renew unless canceled before the renewal date. By starting a subscription, you authorize Waffo Pancake and its payment providers to charge the applicable recurring fees, taxes, and authorized adjustments to your selected payment method.
You may cancel renewal through the available customer or billing portal. Cancellation normally takes effect at the end of the current paid billing period, and access continues until that date unless the account is suspended for a Terms violation, fraud, chargeback, or legal reason.
If a trial converts to a paid subscription, the conversion date and price will be disclosed at checkout. Cancel before the trial ends if you do not want the paid subscription to begin.
We may change subscription prices for future billing periods. Where required, we will provide advance notice, and the new price will apply no earlier than the next renewal after the change takes effect.
Waffo Pancake acts as Merchant of Record and authorized reseller for purchases made through the Services. Waffo may:
Your purchase may also be subject to Waffo's applicable checkout, buyer, and privacy terms. You must provide accurate billing information and have legal authority to use the payment method submitted.
Prices may be displayed before or after applicable taxes depending on your location and checkout presentation. The final price, currency, tax, and payment terms are those shown at Waffo checkout before you confirm the purchase.
Because Delphyn AI provides digital services and immediately usable credits, purchases are generally final except as described below or required by law.
Canceling a subscription stops future renewal and normally takes effect at the end of the current billing period. Subscription fees already paid are generally not refunded or prorated merely because you did not use the Services, changed your mind, or canceled before the period ended.
A refund may still be provided where required by applicable law, Waffo's obligations as Merchant of Record, or where a duplicate or incorrect charge, failure to deliver, material service defect, unauthorized transaction, or other qualifying circumstance is confirmed.
One-time credit packages are eligible for a refund request within 14 days of payment, subject to Waffo's refund workflow, applicable law, and review of the request. Eligibility to request a refund does not guarantee approval.
If purchased credits have been used, transferred into another entitlement, or materially consumed through successful generations, the refund may be denied or limited to the unused portion where permitted by law. If a refund is approved, related unused credits and paid entitlements may be revoked.
Submit a request through the Waffo customer portal where available, or email nicolabosho@gmail.com with your account email, transaction ID, purchase date, and reason for the request. Waffo may independently issue or require a refund where necessary under law, payment network rules, customer protection requirements, fraud controls, or its Merchant of Record obligations.
Refund timing depends on Waffo, the payment provider, your bank, and the original payment method. A return of credits after a failed generation is an account adjustment and is not a cash refund.
Nothing in this section limits any non-waivable consumer rights available under applicable law.
You retain any rights you hold in text, recordings, files, and other content you submit (User Content). You grant Delphyn AI and the service providers needed to operate the Services a worldwide, non-exclusive, limited, royalty-free license to host, copy, transmit, process, modify for technical purposes, and generate outputs from User Content solely to provide, secure, support, and improve the operation of the Services.
You represent and warrant that:
Do not submit confidential, regulated, or sensitive information unless you understand and accept how the Services and relevant providers will process it.
Subject to these Terms, your plan, third-party rights, and applicable law:
AI-generated results may be inaccurate, unexpected, similar to other outputs, or unsuitable for a particular purpose. We do not guarantee that an output is unique, error-free, non-infringing, or legally usable in every jurisdiction or context.
Delphyn AI does not transfer to you rights in third-party voices, recordings, trademarks, copyrighted works, names, likenesses, or other protected material merely because the Services can technically process or generate related audio.
You must not use the Services to create, upload, request, publish, or distribute content or activity that:
These restrictions apply to public and private activity and to personal, commercial, experimental, and automated use.
We may use automated checks and, where reasonably necessary and legally permitted, human review to detect misuse, investigate reports, enforce these Terms, and protect users and third parties.
If we reasonably believe content or activity violates these Terms, creates legal or security risk, or may harm others, we may block a generation request, remove or restrict content, disable a voice, limit features, preserve relevant evidence, suspend or terminate accounts, revoke fraudulently obtained credits, notify affected providers or rights holders, or report conduct to appropriate authorities.
Serious violations—including child exploitation, fraud, unauthorized voice cloning, or repeated abuse—may result in immediate suspension or termination.
Any user, rights holder, or member of the public may report generated content, a voice model, or account activity that may violate these Terms. Submit a report through either channel:
To help us locate and review the issue, include where available the relevant page URL, voice or task ID, account name, a description of the concern, screenshots or other supporting evidence, and your contact details. Do not continue downloading, sharing, or distributing potentially unlawful content solely to make a report, and do not include unnecessary sensitive personal information.
After receiving a report, we will record and review the available information and may block generation, restrict access, remove content, disable a voice, preserve evidence, suspend or terminate an account, or take other appropriate action. Reports involving suspected child sexual abuse material (CSAM), credible threats to physical safety, or other urgent unlawful content receive priority and may be reported to appropriate authorities or service providers as required by law. To protect privacy, security, and the integrity of investigations, we may not be able to disclose every action taken to the reporter.
Delphyn AI and its licensors retain all rights in the Services, including software, interfaces, branding, designs, documentation, databases, and technology, excluding User Content. These Terms grant you only a limited, revocable, non-exclusive, non-transferable right to use the Services in accordance with these Terms.
“Delphyn AI” and associated names, logos, and branding may not be used in a way that suggests sponsorship, endorsement, or affiliation without prior permission.
If you believe content processed through the Services infringes your rights, email nicolabosho@gmail.com with sufficient information to identify the work, the allegedly infringing material, your contact information, your good-faith basis for the claim, and evidence of your authority to act.
The Services depend on third-party providers, including voice-generation, hosting, storage, authentication, analytics, email, and payment services. Their services may be subject to separate terms and privacy policies. We are not responsible for third-party websites, content, availability, or independent practices outside our reasonable control.
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We do not promise that the Services will be uninterrupted, secure, error-free, or suitable for every purpose, or that every generation will succeed or meet your expectations.
We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement to the extent they may legally be disclaimed. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
Temporary delays or interruptions may result from maintenance, provider outages, capacity constraints, internet failures, force majeure events, security incidents, or legal requirements. Where appropriate, we may provide replacement credits, extended access, or another remedy at our discretion, without limiting mandatory legal rights.
To the maximum extent permitted by law, Delphyn AI and its operators, affiliates, personnel, and providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits, revenue, business, data, or goodwill; or the cost of substitute services arising from or related to the Services.
To the maximum extent permitted by law, our aggregate liability for all claims relating to the Services will not exceed the amount you paid to Delphyn AI through Waffo for the Services giving rise to the claim during the 12 months before the event giving rise to liability.
These limitations do not apply where prohibited by law, including liability that cannot lawfully be limited.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Delphyn AI and its operators, affiliates, personnel, and providers from claims, losses, liabilities, and reasonable costs arising from your User Content, your use of generated audio, your violation of these Terms or applicable law, or your infringement of another person's rights.
You may stop using the Services at any time and may delete your account through the Security settings. Account deletion does not automatically cancel a subscription managed through Waffo; cancel renewal through the applicable billing or customer portal as well.
We may suspend or terminate access where you materially or repeatedly violate these Terms, fail to pay amounts due, create fraud or security risk, abuse the Services, expose us or others to legal harm, or where required by law or a provider.
On termination, your right to use the Services ends. Provisions that by their nature should survive—including payment obligations, ownership, disclaimers, liability limits, indemnity, dispute provisions, and enforcement rights—will survive.

These Terms are governed by the laws applicable to the operator of Delphyn AI, without regard to conflict-of-law principles, except that mandatory consumer protections in your place of residence remain unaffected. Courts or tribunals with jurisdiction under applicable law will resolve disputes that cannot be settled informally.
We may update these Terms to reflect changes to the Services, providers, prices, risks, or legal requirements. We will post the revised Terms on this page and update the date above. Where required by law, we will provide additional notice of material changes.
Your continued use after revised Terms take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services and cancel any future renewal.
These Terms and the Privacy Policy are the entire agreement concerning the Services unless separate written terms apply. If a provision is invalid or unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions remain effective.
Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a reorganization, financing, merger, sale, or transfer of the Services.
